The non-ESOP portion of the Plan is intended to qualify as a profit-sharing plan and a cash or deferred arrangement under Sections 401(a) and 401(k) of the Internal Revenue Code ("IRC"), and the ESOP portion of the Plan is intended to qualify as a stock bonus and an employee stock ownership plan for purposes of Sections 401(a),402, 412, 417, 4975 and related provisions of the IRC. The effective date of this amendment and restatement shall be January 1, 1994, except as otherwise provided herein.
